DRAFT. These terms are not yet in force. Before they are published we still need to add our postal address for legal notices (section 1) and confirm our VAT position (section 4). Remove this banner and the noindex tag once that is done. Send comments to hello@cslabs.uk.
Terms of Service
1. Who we are and what these terms cover
These terms are a contract between you and Chris Streames, a sole trader trading as CS Labs ("we", "us", "CS Labs"), based in Liverpool, England. They cover your use of Qwizit (the "service"): our web app for running live team quizzes at bars, clubs, cafes, halls and other venues.
- Trading name: CS Labs. Owner: Chris Streames.
- Email: hello@cslabs.uk. This is the quickest way to reach us, and we aim to reply within two working days.
- Postal address for legal notices and service of documents: to be added before these terms are published.
- CS Labs is not a company, so it has no company registration number.
By creating an account, starting a free trial or using the service, you agree to these terms and to the data processing terms in section 15. Our Privacy Notice explains how we handle personal data.
2. Business use only
Qwizit is a tool for businesses: venue owners, venue groups and freelance quizmasters. By using it you confirm that you are acting for your trade, business or profession, and not as a consumer. If you sign up for a venue or a company, you confirm you have authority to accept these terms for it, and "you" means that business.
If the law treats you as a consumer despite this, nothing in these terms takes away the rights the law gives you. In particular, you may cancel a paid subscription within 14 days of it starting. If you asked us to start straight away, we will refund what you paid less a fair amount for the time you used.
3. The service
Qwizit lets a venue run live team quizzes. You can build or import questions, schedule quizzes, show them on a big screen, and let teams join and answer on their own phones in a browser. Each venue has its own teams, styles, calendar and question history, and can switch on a public page with its next quizzes and league table.
- Players join with a code or QR code. They do not need an account or an app.
- You need a modern browser and an internet connection to run or play a quiz.
- Some features stay off until you switch them on, for example the public venue page and the jackpot record.
- The jackpot feature is a record only. Qwizit does not hold, collect or pay out any money or prizes. If you run a jackpot, prize draw or any game with a cash prize, you are responsible for making sure it is lawful, including any gambling or licensing rules that apply to you.
- We may improve, change or remove features. If a change takes away something you rely on, we will give notice as set out in section 12.
4. Plans and pricing
One plan for everyone, priced by the number of active venues on your account. Venue owners, venue groups and freelance quizmasters pay the same price for the same number of venues. Prices are in pounds sterling (GBP) and are monthly unless stated. Prices are shown without VAT; if VAT applies, it is added at the current rate and shown on your invoice.
| Plan | Venues | Price |
|---|---|---|
| Single | 1 | £75 per month |
| Multi | 2 to 10 | £75 per month for the first venue, plus £65 per month for each extra venue (2 venues £140, 10 venues £660) |
| Group | 11 or more | From £60 per venue per month, on an annual contract billed yearly. Agreed with us in writing. |
Adding or closing venues. Your price follows the number of active venues you run. If you add or close a venue, your subscription changes from that point, and Stripe adjusts the next invoice.
Annual billing. Pay for ten months and get twelve: two months free. For example, annual Single is £750 a year. Annual billing is arranged by email with us.
Founding offer. The first 25 accounts to sign up get 30% off the Single and Multi plan price for their first 12 months of paid subscription. We will show the discounted price before you subscribe. After those 12 months the price moves to the list price at that time, and we will remind you at least 30 days before it does. The offer is one per business, cannot be transferred or exchanged for cash, does not apply to Group plans, and ends for new sign-ups once 25 accounts have claimed it.
5. Free trial
New accounts get a 30-day free trial. No card is needed to start, and nothing is charged when the trial ends: a paid subscription only starts if you choose a plan and pay through Stripe. The app shows how many trial days are left. If you do not choose a plan, you can still sign in and see your data, but you cannot start new quizzes until you subscribe. One free trial per business.
6. Billing and renewal
- Payments are taken by Stripe. You give your card details to Stripe, not to us, and we never see or store your full card number. Stripe's own terms apply to the payment.
- You pay in advance for each month or year. Your subscription renews automatically at the end of each period, at the price in force then, until you cancel. Stripe sends a receipt for each payment.
- For annual subscriptions we will email you at least 30 days before each renewal.
- If a payment fails, Stripe will try again. While a payment is overdue you cannot start new quizzes. If it is still unpaid after 30 days, we may suspend the account until it is paid.
7. Cancellation and refunds
- You can cancel at any time from Venue settings (which opens Stripe's billing page), or by emailing hello@cslabs.uk.
- Cancellation takes effect at the end of the billing period you are in, and you keep access until then. There is no cancellation fee.
- Fees already paid are non-refundable, and we do not refund part-months or part-years, except: where section 2 gives you a 14-day right to cancel; where we end the service or your access for a reason that is not your fault (section 13); or where the law says otherwise.
- Group plans on an annual contract run for the agreed year and can be cancelled from the next renewal date.
8. Your account
- Account holders and staff hosts must be at least 18. Give a true name and a working email address and keep them up to date.
- Keep your password safe. Each login is for one person, so do not share it. You are responsible for what is done through your account and through staff logins you add.
- Tell us straight away at hello@cslabs.uk if you think someone else has your password or is using your account.
9. Acceptable use
You are responsible for your account and for the quizzes you run. You must not:
- use team names, questions, images or other content that is offensive, hateful, harassing, discriminatory, unlawful, or that infringes anyone else's rights;
- upload anything you do not have the right to use;
- break the law, or use Qwizit to collect more personal data about players than the quiz needs;
- try to break, overload, probe or get round the security of the service, or scrape it;
- resell, sublicense or share access to the service, or share your login.
The venue is responsible for its quiz and for what happens at it, including keeping it fair, safe and suitable for the people taking part. We may remove offensive team names or content, and suspend accounts that break these rules (section 13).
Music licensing is the venue's responsibility. If you play music, including Qwizit's sounds or your own music between questions, the venue must hold the licences it needs (for example TheMusicLicence from PPL PRS in the UK). We do not supply music licensing or cover it for you.
10. Your content and the question licence
You keep ownership of the questions, answers, images and other content you create or import. You give us a licence to store, copy, display and process that content only as needed to run the service for you: for example to show questions on the big screen and on players' phones, and on any public page you switch on. This licence ends when your content is deleted, except for copies in backups until they are overwritten.
Questions and question packs we provide (including the built-in question bank) remain ours or our licensors'. They are licensed to you for use inside Qwizit only while you have an account. You may not copy, export, publish, resell or reuse them anywhere else, including in another quiz app or offline. We check questions with care, but we cannot promise every answer is correct; the host has the final say on the night.
If someone makes a claim against us because content you uploaded infringes their rights, or because you did not hold a licence you needed (such as a music licence), you will cover our reasonable costs of dealing with that claim.
11. Availability and support
We aim to keep Qwizit running and we take reasonable care, but we do not guarantee uninterrupted or error-free service and we do not offer a service level agreement. We may need maintenance downtime, which we will try to schedule away from typical quiz times and announce in advance where we can. Things outside our control, such as a venue's internet connection, players' phones or a failure at our hosting provider, can stop a quiz from running.
Support is by email at hello@cslabs.uk, on a reasonable-efforts basis.
12. Changes to these terms and prices
We may change these terms or our prices. For a change that affects you materially, we will give you at least 30 days' notice by email and say what is changing. If you do not agree, you can cancel before the change takes effect and you will not be charged under the new terms. A price change takes effect from your first renewal after the notice period. Changes needed for legal or security reasons, or that do not disadvantage you, may take effect sooner. For an annual subscription, a price change applies only from your next annual renewal.
13. Suspension and ending the contract
- You can stop using Qwizit at any time. To close your account and have its data deleted, email hello@cslabs.uk.
- We may suspend or end your access if you seriously or repeatedly break these terms, if you do not pay, or if we have to by law. Where it is reasonable, we will warn you first and give you a chance to put things right.
- We may stop offering Qwizit altogether by giving you at least 60 days' notice.
- If we end your access or stop offering Qwizit for a reason that is not your fault, we will refund the unused part of any period you have paid for.
- Before your account closes you can ask us for a copy of your venue data in a common format. After it closes, we delete or anonymise your data as described in our Privacy Notice, except records we must keep by law.
14. Our liability
Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or any other liability that cannot be limited by law.
Subject to that:
- We provide the service with reasonable care and skill. Apart from that, and to the extent the law allows, we give no other promises about it, including that it is fit for a particular purpose.
- We are not liable for loss of profit, revenue, business or goodwill, or for any indirect or consequential loss.
- We are not liable for loss of data, except where it is caused by our failure to take reasonable care, including keeping reasonable backups. In that case our liability is limited to the reasonable cost of restoring the data from our backups.
- We are not liable for delays or failures caused by events outside our reasonable control.
- Our total liability for all claims relating to the service is limited to the greater of £100 or the fees you paid us in the 12 months before the event giving rise to the claim.
15. Data processing terms
When you run quizzes, you decide which teams, results and content to collect and whether to publish them, so for that venue and quiz data you are the controller and we are your processor. Personal data about you as an account holder, our billing records and our security records are ours as controller, as explained in the Privacy Notice. For the data we process for you, we will:
- process it only to provide Qwizit and on your documented instructions (these terms and your use of the app), unless the law requires otherwise, in which case we will tell you if we can;
- make sure anyone who can access it is bound to keep it confidential;
- keep it secure with appropriate technical and organisational measures;
- use only the sub-processors named in the Privacy Notice, give you at least 30 days' notice by email of any new one so you can object or cancel, and hold each sub-processor to equivalent data protection terms;
- transfer it outside the UK or EEA only with the safeguards the law requires;
- help you respond to requests from players and others exercising their data protection rights, and with security, breach notification and impact assessments where relevant;
- tell you without undue delay after we become aware of a personal data breach affecting it;
- delete it or return it to you when the service ends, unless the law requires us to keep it (backups are overwritten on their normal cycle); and
- give you the information you reasonably need to show these terms are met.
The data covers team names, team colours, answers, scores, league results, uploaded images, and the names and email addresses of staff hosts you add. It relates to players, staff hosts and anyone named in your content, and is processed for as long as you use Qwizit. You must have a lawful basis for the venue data you collect and publish, and you must not put sensitive personal data into Qwizit.
16. General
- These terms, and any written Group plan agreement, are the whole agreement between us about Qwizit.
- If any part of these terms is found to be unenforceable, the rest still applies.
- If we do not enforce a right straight away, we can still enforce it later.
- You may not transfer this contract without our written agreement. We may transfer it to someone who takes over Qwizit, and we will tell you if we do.
- Nobody other than you and us has any right to enforce these terms.
- We will send notices to the email address on your account. You can send notices to hello@cslabs.uk.
17. Complaints, governing law and courts
If something goes wrong, please email hello@cslabs.uk first and we will try to sort it out quickly.
These terms, and any dispute about them or about Qwizit, are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
